Terms and Conditions of Purchase, Download and/or Use of Downloadable Digital Patterns and Designs
The terms and conditions set forth below (the “Downloadable Digital Pattern Terms”) constitute an agreement between you and Plaid Enterprises, Inc. (“Plaid”, “we”, “our” or “us”) regarding your purchase, download and/or use of digital patterns or designs available on this website for your purchase (“For-Sale Digital Patterns”) or for your use for free (“Free Digital Patterns” and together with For-Sale Digital Patterns, collectively, “Downloadable Digital Patterns”). For purposes of the Downloadable Digital Pattern Terms, “you” or “your” means any individual or entity purchasing, downloading and/or using any Downloadable Digital Pattern. Your purchase, download and/or use of any Downloadable Digital Pattern constitutes your acceptance of all of the Downloadable Digital Pattern Terms. As such, if you do not agree to any of the Downloadable Digital Pattern Terms, please do not purchase, download or use any Downloadable Digital Pattern.
1. Intellectual Property Rights
Unless specifically noted otherwise, all Downloadable Digital Patterns are subject to the copyright and/or other intellectual property rights held by Plaid or its affiliate(s) (“Plaid-Owned Digital Patterns”) or subject to the copyright and/or other intellectual property rights held by third parties who have licensed their rights to Plaid (“Plaid-Licensed Digital Patterns”). All of such rights are protected by applicable U.S. and international intellectual property laws. Except for those rights that are specifically granted to you hereunder, Plaid and its affiliates and licensors expressly reserve all of their respective intellectual property rights in all Downloadable Digital Patterns.
2. License and Use
When you purchase a For-Sale Digital Pattern or download a Free Digital Pattern, you are granted a non-exclusive, non-sublicensable, non-transferable, royalty-free license to download the applicable Downloadable Digital Pattern an unlimited number of times and to access and utilize such Downloadable Digital Pattern for your own personal use, subject to the Downloadable Digital Pattern Terms. Any other use, including, without limitation, any commercialization in any way, of any Downloadable Digital Pattern is strictly prohibited, except as otherwise permitted below.
Subject to the Downloadable Digital Pattern Terms, you may use any purchased or downloaded Plaid-Owned Digital Pattern to create your own craft products and sell such products for profit at craft shows and other small venues without any mass production of such products. For purposes of the Downloadable Digital Pattern Terms, “mass production” means (i) production in a factory; (ii) production by more than one person in an assembly line; (iii) production by a person other than you or a member of your family; or (iv) production in quantities of more than ten thousand finished products per year. For the avoidance of doubt, you acknowledge and agree that under the Downloadable Digital Pattern Terms, you may not utilize Plaid-Licensed Digital Patterns for any purpose other than the personal use as permitted above.
3. Warranty Disclaimers
ALL DOWNLOADABLE DIGITAL PATTERNS ARE MADE AVAILABLE TO YOU “AS IS” AND WITHOUT ANY WARRANTY. PLAID HEREBY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO, OR RELATED IN ANY WAY TO, EACH AND EVERY DOWNLOADABLE DIGITAL PATTERN, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS OR FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE HEREBY DISCLAIMED.
4. Your Representations and Warranties
By purchasing and/or downloading any Downloadable Digital Pattern, you represent and warrant to us as follows:
- you possess the requisite legal authority to agree to and accept all of the Downloadable Digital Pattern Terms;
- you will fully comply with all applicable laws and regulations, including, without limitation, intellectual property laws, when purchasing, downloading and/or using any Downloadable Digital Pattern;
- you will not infringe or encroach upon any personal, contractual or proprietary rights, including, without limitation, intellectual property rights, of any person or entity, including, without limitation, Plaid and its licensors, when purchasing, downloading and/or using any Downloadable Digital Pattern;
- in downloading and/or using any Downloadable Digital Pattern, you will not alter it in any manner, including, without limitation, by removing or changing any copyright notice or the like placed thereon;
- you will be solely responsible for your use of any Downloadable Digital Pattern, including, without limitation, any commercialization thereof as permitted hereunder, and any and all liabilities resulting from, arising out of, related to or associated with such use;
- you will not use Plaid’s name or any of the trademarks, trade names, trade dress and logos of Plaid in any way without the prior written consent of Plaid;
- you will not re-sell, sublicense, rent out, share, transfer or otherwise distribute any Downloadable Digital Pattern or any of your rights hereunder in breach of the Downloadable Digital Pattern Terms; and
- you will not engage in any conduct that injures or may injure the business, reputation or goodwill of Plaid or any of its affiliates.
5. Pricing and Final Sale
The prices displayed on this website for Downloadable Digital Patterns are subject to change, and we reserve the right to change such prices without notice. Subject to the immediately following sentence, the prices for Downloadable Digital Patterns on this website as displayed at the time of purchase are the prices applicable to that purchase. Please note that it is possible that the prices displayed on this website contain errors despite our best efforts to maintain this website with care. If the price you pay at the time of your purchase contains any error, we reserve the right to charge you and collect from you the correct price at a later time. All sales of For-Sale Digital Patterns are final, and no return of any purchased For-Sale Digital Pattern will be permitted.
6. Limitation of Liability
IN NO EVENT SHALL PLAID OR ANY OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE EQUITY HOLDERS, DIRECTORS, MANAGERS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM, ARISING OUT OF, RELATED TO OR ASSOCIATED WITH YOUR PURCHASE, DOWNLOAD AND/OR USE OF ANY DOWNLOADABLE DIGITAL PATTERN, WHETHER OR NOT SUCH DAMAGES ARE FORESEEN BY, OR ARE REASONABLY FORESEEABLE TO, PLAID, OR WHETHER OR NOT PLAID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ADDITION, OUR TOTAL LIABILITY TO YOU IN CONNECTION WITH YOUR PURCHASE, DOWNLOAD AND/OR USE OF ANY DOWNLOADABLE DIGITAL PATTERN, IF ANY, WILL BE THE TOTAL AMOUNT OF CONSIDERATION YOU PAID FOR SUCH DOWNLOADABLE DIGITAL PATTERN. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
7. Indemnification
You hereby agree to indemnify, defend and hold harmless Plaid and all of its affiliates and its and their respective equity holders, directors, managers, officers, employees, representatives and agents from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs and expenses of whatever kind, including, without limitation, reasonable attorney fees and the costs of enforcing any right to indemnification hereunder, resulting from, arising out of, related to or associated with the breach by you of any of the Downloadable Digital Pattern Terms or your purchase, download and/or use of any Downloadable Digital Pattern. 4
8. Right to Amend Terms
We may, in our sole and absolute discretion, amend, change or revise the Downloadable Digital Pattern Terms at any time without any notice to you, and you agree to be bound by any amendment, change and revision we make to the Downloadable Digital Pattern Terms.
9. Assignment
The Downloadable Digital Pattern Terms, and any right granted hereunder, may not be transferred or assigned by you, but may be assigned by Plaid without restriction.
10. Entire Agreement; Choice of Law; and Jurisdiction
The Downloadable Digital Pattern Terms constitute the sole and entire agreement between you and us regarding the subject matters contained herein, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matters, if any. The Downloadable Digital Pattern Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any principles of conflicts of laws thereof. Any action seeking legal or equitable relief arising out of or relating to your purchase, download and/or use of any Downloadable Digital Pattern shall be brought only in the state and federal courts of Georgia.
PLAID POINTS PROGRAM TERMS AND CONDITIONS.
These Terms and Conditions (“T&Cs”) govern your membership in the Plaid Points Program (“Program”). The Program is operated by Plaid Enterprises, Inc. (“Plaid,” “we,” or “us”) and membership is available to eligible individuals who reside in the United States or the District of Columbia. The Program allows members to earn rewards on eligible purchases made on PlaidOnline.com and to redeem such rewards for discounts on future purchases. By enrolling in and participating in the Program, you agree to comply with and be bound by these T&Cs. These T&Cs may be modified or updated by Plaid at any time, in its sole discretion. These T&Cs exclusively govern membership in the Program.
1. ELIGIBILITY AND MEMBERSHIP.
Enrollment in the Program is free.
Program membership is open to legal residents of the United States and the District of Columbia who are at least 18 years of age and who maintain a valid Plaid Account.
Each member may only have one Program account. Members who attempt to create multiple accounts may have their accounts terminated.
To create a Plaid Account, you must provide accurate personal information, including your name, email address, phone number, and birth date.
By creating a Plaid Account you agree:

to receive advertising, marketing, promotional, and/or other materials and/or communications from us. If you opt out of receiving advertising, marketing and promotional emails from us, you will continue to receive emails regarding your purchases, but you will NOT receive emails about rewards status or offers. To enjoy all the benefits of the Program, you must opt in to receive advertising, marketing, and promotional emails as rewards offers under the Program will be communicated via email.

that your Program membership, account, and rewards earned and other benefits are not transferable or otherwise assignable, not redeemable for cash, have no cash value (other than earned rewards as discounts on future purchases), and are not for resale or auction.

A User may terminate participation by opting out of the Rewards Program or by notifying Plaid Enterprises, and upon such termination, the User may use Points accumulated up to the date of termination. If User opts out of Rewards, points accumulation ceases immediately, however User may rejoin program and commence point accumulation at any time.
2. MEMBERSHIP TIERS.
There are currently three Program membership tiers: Maker Member, Creative Insider, and Plaid Pro
When you create a Plaid Account and complete a purchase, you become a Maker Member and are eligible for all the benefits of being a Maker tier member. Achieving Creative Insider or Plaid Pro tier member status requires a minimum spend per year on qualifying and eligible products. Plaid reserves the right to make available additional membership tiers and designate membership tier status based on conditions other than spend (e.g., promotional) at any time in its sole discretion. Tier status is valid for the balance of the calendar year in which the member qualifies for such tier, as well as the following calendar year.
3. EARNING REWARDS.
Members can earn rewards based on eligible purchases made online at PlaidOnline.com. To earn points, you must be signed into your Plaid Account. If you check out as a guest, your points will not reflect in your Plaid Points dashboard.
All members will start at the Maker Member. Once you complete a purchase, you will earn 1 point for every $1 spent on eligible purchases, including earning points on your very first purchase. Maker tier members who spend at least $100 on eligible purchases within the calendar year will automatically be upgraded to Creative Insider status. After a $200 spend, you will be upgraded again to Plaid Pro status, which earns 2 points for every $1 spent. This enhanced rate is applied automatically once the spending threshold is met and an upgraded member status is achieved.
For every 100 points earned, and only at each 100-point milestone, you will receive $5 in Plaid Points, redeemable toward future purchases. Points accrue with every purchase. Therefore, accumulating 100 points to earn a $5 reward may require several transactions. All Plaid Point amounts are in U.S. dollars.
To maintain Creative Insider or Plaid Pro status, members must spend $100 and $200, respectively, in a calendar year (defined as January to December). Status will be reevaluated each January, and members who fail to maintain this threshold will be dropped in tier.
Members may also have opportunities to earn points through special offers. These may include weekly product promotions, birthday rewards, or personalized offers based on purchase activities. Special offers will be communicated through email or through your online account. Each offer is subject to its own terms and conditions. Please review each offer carefully for details on eligibility, limitations, exclusions, and valid offer periods. Special offers cannot be combined with any other offer, including discounts, coupons or promotions, but special offer purchases will count toward the free shipping threshold.
Plaid reserves the right to extend Program benefits and promotional offers to select members based on certain criteria such as purchase history, location, or overall Program engagement in its sole discretion.
Rewards from qualifying purchases will typically appear in your account once your eligible purchase has been shipped. Delays may be caused for various reasons, including a product that is on backorder. If you do not see your rewards after your order ships, please contact Customer Service for assistance. 4. PURCHASES EXCLUDED FROM EARNING REWARDS.
Rewards are not earned on the following types of transactions:

Purchases of gift cards;

Purchases of clearance or closeout merchandise;

Extended warranty purchases;

Transactions involving third-party sellers;

Merchandise return transactions; and
-
Taxes, shipping fees, or other similar charges.
5. REDEEMING REWARDS.
Rewards earned through the Program will accumulate in your account. Members can redeem their rewards in $5 increments, up to $50. Only one reward may be used in a single transaction, up to the total eligible purchase amount.
Rewards never expire. Points may expire and are subject to applicable law. Points not tied to an earned $5 reward will expire 365 days after accrual if the member does not hit the 100-point threshold for the next $5 reward. A member, if opted in for marketing emails, will receive a notification of potential upcoming expiration.
If a purchase is returned in full or in part, any rewards earned from that purchase will be deducted from your reward balance, which may result in a negative rewards balance. If you used your rewards to make a purchase and an order is either canceled or an item is returned, the corresponding rewards will be credited to your account within 48 hours, provided they have not passed their expiration date.
6. ENROLLMENT AND ACCOUNT MANAGEMENT.
To enroll in the Program, register for an account online at PlaidOnline.com. Once logged in, members can view account activity and update their contact details. It is your responsibility to ensure that your account information is accurate and up to date. If you need assistance, please contact Customer Service. 7. MONTHLY PRIZE DRAWING
The Monthly Prize Drawing is valid to Plaid Pro tier only. By participating in the “Monthly Chance to Win a Prize” promotion (“Promotion”), you agree to be bound by the following Terms and Conditions:

Eligibility: The Promotion is open to individuals who are active Plaid Pros members and subscribed to the Plaid Points email newsletter. Participants must be legal residents of the United States and at least 18 years old at the time of entry.

Automatic Entry: Eligible members will be automatically entered into the monthly drawing, provided they are subscribed to the Plaid Points email newsletter at the time of the drawing.

No Purchase Necessary. A purchase will not increase your chances of winning. For an alternate means of entry into the Monthly Prize Drawing, email community@plaidonline.com with your full name, mailing address, and phone number. Limit one entry per person per month, regardless of method of entry. Entries must be received during the applicable monthly entry period to be eligible. Void where prohibited. Subject to all applicable federal, state, and local laws and regulations.

Prize: Each monthly winner, one per month, will receive a prize pack curated by Plaid, with an approximate retail value of up to $50. Prizes are subject to availability and may change from month to month at Plaid’s sole discretion. Prizes are non-transferable, non-exchangeable, and may not be redeemed for cash or any other form of credit.

Winner Selection and Notification: Winner will be selected at random from all eligible entries and notified via the email address associated with their Plaid Points account. It is the responsibility of the participant to ensure that their email address is current and that emails from Plaid are not blocked or sent to spam/junk folders.

Claiming the Prize: Winners may be required to respond within a specified timeframe (e.g., 7 days) to claim their prize. Failure to respond in a timely manner may result in forfeiture of the prize and selection of an alternate winner.

Disqualification: Plaid reserves the right to disqualify any participant who tampers with the entry process, violates these Terms and Conditions, or acts in a disruptive or dishonest manner.

Limitation of Liability: Plaid is not responsible for technical failures, lost or misdirected communications, or any issues beyond its reasonable control that may affect the outcome of the Promotion.

Modification or Termination: Plaid reserves the right to modify, suspend, or terminate the Promotion at any time for any reason, with or without notice.
8. APPLICABLE POLICIES.
The collection and use of your personal information for the Program are subject to, and are governed by, any and all applicable Plaid policies, including Plaid’s Privacy Policy (https://plaidonline.com/privacy-policy-cookie-restriction-mode).
9. MODIFICATION OF TERMS AND PROGRAM CHANGES.
Members can enjoy a variety of benefits made available by Plaid from time to time, in its sole discretion. Additional benefits may vary by membership tier, and some membership tiers may have more benefits than others. The type, timing, and availability of any benefits (including membership tier-specific bonus points, special offers, sweepstakes, appreciation events, etc.) will be determined by Plaid in its sole discretion. Plaid may, its sole discretion, alter, remove, limit, and otherwise modify the membership eligibility, rules (including reward rates and eligible purchases), benefits, and any other aspect of any particular membership tier, and may modify, suspend or terminate the Program in whole or in part, at any time, without any prior notice or obligation to any member, except as may be required by applicable law.
Any changes to these T&Cs will be posted on the official Plaid website and become effective upon posting. You hereby acknowledge and agree that your maintenance of Program membership after such changes are posted on the official Plaid website will constitute your acceptance of such changes.
10. CANCELLATION / TERMINATION OF MEMBERSHIP.
You may cancel your membership in the Program at any time by logging into your account and selecting the appropriate option to cancel your membership. All earned rewards are forfeited upon membership cancellation.
Plaid reserves the right to suspend or terminate your account, at any time, without prior notice, in its sole discretion, if you fail to fully comply with these T&Cs, engage in fraudulent activity, or abuse the benefits of the Program. We reserve the right to interpret and apply the policies and procedures communicated in these T&Cs. All determinations made by us shall be final and conclusive in each case.
Abuse of the Program includes failure to follow Program policies and procedures, the transfer, sale or barter of any rewards, products, benefits or promotional offers associated with the Program, buying Plaid products for resale using rewards, and any misrepresentation of fact or other improper conduct as determined by us in our sole judgment, and such abuse may result in cancellation of your account and future disqualification from Program participation, and forfeiture of all benefits associated with the Program. In connection with the enforcement of any of these T&Cs, we reserve the right to take any and all appropriate legal actions as we deem necessary, and to recover damages, attorneys’ fees and court costs.
11. LIMITATION OF LIABILITY.
Plaid is not responsible or liable for any errors, omissions, or technical issues that may affect the Program, including issues related to account access, reward determination, or redemption.
To the fullest extent permitted by law, Plaid is not liable for any damages, including indirect, incidental, consequential, and other types of damages, arising out of or related in any way to your participation in the Program.
12. GOVERNING LAW.
These T&Cs are governed by and construed in accordance with the laws of the State of Georgia without regard to its conflict of law principles.
13. DISPUTE RESOLUTION.
Any disputes or claims arising out of or related in any way to the Program, including these T&Cs, will be resolved through binding arbitration described below.
CLASS ACTION WAIVER. You and we each agree that any proceeding, whether in arbitration or in court, in any way related to the Program, including these T&Cs, will be conducted only on an individual basis and not in a class, consolidated or representative action.
JURY TRIAL WAIVER. YOU AND WE EACH HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL RIGHTS TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE OR CLAIM DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING IN ANY WAY TO THE PROGRAM, INCLUDING THESE T&CS.
14. ARBITRATION.
Please read this Arbitration section carefully. It affects rights that you may otherwise have. It provides for resolution of disputes related to the Program through arbitration instead of court proceedings. Arbitration is more informal, less burdensome to the parties, and less expensive than a lawsuit in court, uses a neutral arbitrator instead of a judge or jury, and discovery is more limited. Arbitration is final and binding and subject to only very limited review by a court. This Arbitration section shall survive the termination of the Program or your membership.
No amendment to this Arbitration section will apply to a dispute of which we had actual notice as of the date of such amendment. Any termination of this Arbitration section will not be effective, as applicable, (i) until 10 days after reasonable notice of termination is given to Program members by posting updated T&Cs at PlaidOnline.com; or (ii) as to disputes which arose prior to the date of such termination.
This Arbitration section is intended to be interpreted broadly to encompass all disputes or claims you may have with Plaid arising out of or relating to the Program, including these T&Cs.
Arbitration under this section shall be conducted in accordance with the rules of the American Arbitration Association ("AAA"), including the AAA's Consumer Arbitration Rules (as applicable), as modified by these T&Cs. Any arbitration under this section will be held in Atlanta, Georgia. The arbitration under this section will be conducted in the English language. Any arbitration under this section shall be confidential, and neither you nor we may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. Either party may appeal an arbitration award to any court of proper jurisdiction only if the amount, or value of injunctive relief, in dispute exceeds $25,000.
15. GENERAL.
Any dispute between you and us that is not subject to arbitration will be resolved in the state or federal courts of the State of Georgia. You hereby submit to the exclusive jurisdiction of such courts in respect of any such dispute. The United Nations Convention on Contracts for the International Sale of Goods shall have no applicability to the Program.
If any provision or part of a provision of these T&Cs is unlawful, void or unenforceable, that provision or part of the provision will be severed from these T&Cs, and such occurrence will not affect the validity and enforceability of any remaining provisions.
Program participation is void where prohibited by law. Restrictions may apply.

Mobile Terms of Service.
The Plaid Enterprises mobile message service (the "Service") is operated by Plaid Enterprises (“Plaid Enterprises”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.
By consenting to Plaid Enterprises’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Plaid Enterprises through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).
You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Plaid Enterprises. Your participation in this program is completely voluntary.
We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.
To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
